Terms of Service

These Terms of Service (“Terms”) govern access to and use of Underbase, the print-shop operating system at underbase.com (the “Service”). The Service is operated by Underbase. Questions: hello@underbase.com.

Underbase helps a print shop take a job from art to payment and production: clients, uploads, mocks, gang sheets, pricing, and orders. Optional Underbase Supply features let a shop collect customer cards and, later, buy transfers or blanks from us.

We provide software and, where you opt in, payment and supply services. We are not your lawyer, accountant, or print consultant. You remain responsible for your shop, your customers, and your work.

You must be at least 18 and able to form a contract. A shop on Underbase is a team account. The owner is responsible for members, permissions, and everything done under that shop.

Keep login credentials confidential. Tell us promptly if you think an account has been compromised. We may suspend access to protect the Service, other shops, or a payment investigation.

You keep ownership of artwork, mocks, customer records, and other material you upload (“Shop Content”). You grant us a limited license to host, process, and display Shop Content only as needed to run the Service (including backups, thumbnails, and gang-sheet renders).

You represent that you have the rights to the art and customer data you put in Underbase, and that using it here does not infringe someone else’s rights or break the law. Do not upload material you do not have permission to print.

Card payments on an Order use Stripe Connect. When a shop takes a customer card through Underbase, the shop is the merchant of record for that charge. Stripe processes the payment. Underbase collects a 2.99% application fee on that customer-to-shop charge.

Shop-to-Underbase purchases of Supply goods (when that flow is live) use the same Connect account and do not take the 2.99% application fee.

By connecting payments you also agree to the applicable Stripe Connected Account Agreement and Stripe’s services terms. Payout timing, reserves, and identity checks are Stripe’s. We do not hold your customer’s card number.

Cash or recorded offline payments are between you and your customer. Chargebacks, refunds, and tax collection on your sales are your responsibility unless the law says otherwise.

• No illegal printing, fraud, or infringement.
• No attempting to bypass tenancy, payments, or rate limits.
• No malware, scraping that harms the Service, or abuse of transactional email.
• No using the Service to process payments for a business that is not yours.

We aim for a reliable bench, not a guaranteed uptime contract unless we sign one with you separately. Features may change. We will post material changes to these Terms on this page and update the date above.

THE SERVICE IS PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that pricing, inventory, or production output will match a particular result on press.

TO THE FULLEST EXTENT PERMITTED BY LAW, UNDERBASE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST ART, OR LOST PRODUCTION TIME. OUR TOTAL LIABILITY FOR A CLAIM RELATING TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM.

You may stop using the Service at any time. We may suspend or end access if you breach these Terms, if required by a payment network, or if we shut the Service down. Provisions that should survive (including 4, 8, 9, and 11) survive.

These Terms are governed by the laws of the United States and the state in which Underbase is organized, without regard to conflict of law rules. If a court finds a section unenforceable, the rest still applies. These Terms are the agreement for the Service, unless we sign a separate written contract with you.
